MDW Capital supports Epiris’ acquisition of Sepura

London, 26 September 2022

MDW Capital is pleased to announce the completion of its 48th financing in four years.  The Firm has advised Epiris on arranging a €107 million debt facility to support its acquisition of Sepura, a leading provider of digital radio systems for mission-critical communications.

Headquartered in the Silicon Fen technology hub, Sepura is a global leader in the design, development and supply of digital radio devices and associated ecosystems for mission-critical applications using Terrestrial Trunked Radio (“TETRA”), a technology that offers a resilient and secure voice and data platform designed for government and emergency-service users. With over two million devices in use in more than 100 countries worldwide, Sepura is a global leader in the public safety market serving police, fire and ambulance services worldwide. It also supplies other sectors, including transportation and mining, where instantaneous, crystal-clear and reliable communications are essential to safety, security and efficiency.

Epiris, a leading UK private equity investor, engaged MDW to advise them on securing a financing package to support this exciting acquisition.

Ian Wood, Partner at Epiris commented “This was a complex transaction which needed accurate articulation of business value attributes to a lender.  In addition, with Sepura operating globally, structuring the appropriate flexibility in the debt facility was critical.  The MDW team are able to recognise a shareholder and borrowers needs yet also understand what is critical for lenders.  This led to a smooth process, agreeing terms and legal documentation for an excellent financing facility at pace.”

David Culpan, Managing Partner at MDW Capital added “It was great to work with the Epiris team again on this complicated transaction.  We established MDW to bring our borrower and investor experience to bear in providing best in class capital advice to companies, and their shareholders.  This transaction and Ian’s comment reinforces our belief in the high value that investors and management alike place on quality advice.  As we say at MDW, capital is about more than just the money.
